Why We’re Doing This Now 

Last December, the Board approved a new three-year strategic plan, and governance was one of the areas members and past leaders raised again and again. Board meeting attendance had slipped, roles between the Board, committees, and staff had gotten blurry, and a board built for a different era of ISCD was starting to show its age. The Board formed a governance task force to take a hard look at how we’re structured and bring recommendations forward. What follows is the product of that work. 

When This Takes Effect 

If members approve the amendments, the transition happens in stages, not overnight. The reduced, 12-member Board is fully in place by the close of the 2027 Annual Business Meeting, with seats phased out as current terms end. The Vice President seat continues through the 2027–2028 term before it’s retired. The CEO assumes Corporate Secretary duties at the close of the 2027 Annual Business Meeting. Current Board members finish out the terms they were elected to the party. Nobody is asked to step down early. 

Why This Is Good for ISCD 

A smaller Board with clearer lanes means directors spend meetings on the decisions that need them — strategy, finances, and the direction of the Society — rather than program-level details that committees and staff are better positioned to handle. It also opens the door wider for members who want to serve, and it puts real limits on how long any one person holds a seat. In short, it’s a Board built to match where ISCD is headed, not where we started.
